Terms of Service

1. Introduction

Welcome to Codqi. These Terms of Service ("Terms") govern your access to and use of Codqi.com and all related services, software, and products (collectively, the "Platform"). By creating an account, making a purchase, or using the Platform in any way, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Platform. We recommend reading these Terms carefully before making any purchase.

2. Definitions

• "Product" means any digital software application, source code, script, or digital asset available for purchase on the Platform.
• "License" means the right granted to you upon purchase to use a Product subject to the restrictions in these Terms.
• "License Key" means the unique alphanumeric code issued to you upon purchase that activates and verifies your License.
• "Plan" means the tier of License you purchase (1 Website, 3 Websites, or 5 Websites), which determines the number of domains on which you may use the Product.

3. Account Registration

To make a purchase, you must create an account with a valid email address and secure password. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.

4. License Grant

Upon successful payment, we grant you a non-exclusive, non-transferable, non-sublicensable license to:

• Download and install the Product on the number of domains specified in your Plan
• Modify the source code for your own use
• Use the Product for personal or commercial purposes on your licensed domains

This License does not permit you to:

• Redistribute, resell, lease, sublicense, or give away the Product (modified or unmodified) to any third party
• Use the Product on more domains than your Plan permits without purchasing additional licenses
• Remove, alter, or obscure any license verification mechanisms within the Product
• Claim authorship of the original Product code
• Use the Product to create a competing product or service that is substantially similar

5. Payments and Pricing

All prices on the Platform are listed in United States Dollars (USD). Payment is processed securely through Stripe or PayPal — we do not store your payment card details on our servers. Upon successful payment, your License Key is issued immediately and your Product is scheduled for professional installation on your server.

We reserve the right to change pricing at any time. Price changes will not affect previously completed purchases or active Licenses.

6. Digital Delivery and Refund Policy

All sales are final. Our Products are digital goods delivered via professional installation on your server — you receive your License Key immediately and our team installs the full source code on your server within 24 hours. Because digital products cannot be "returned" once delivered, we do not offer refunds or exchanges.

By completing a purchase, you expressly acknowledge and agree that:

• The Product is delivered immediately upon payment
• You waive any right of withdrawal that may otherwise apply to digital content purchases
• The transaction is final and non-refundable

We encourage you to review all product features, screenshots, live demos, documentation, and system requirements before purchasing. Our support team is available to answer any pre-purchase questions.

7. Free Installation Service

We offer a complimentary professional installation service for all purchases. If you choose to use this service, you will be required to provide your server access credentials (cPanel URL, username, and password). These credentials are:

• Encrypted immediately upon receipt using AES-256-GCM encryption
• Accessible only to the assigned installation technician during the installation window
• Permanently and irrecoverably deleted within 48 hours of installation completion

We take no responsibility for issues arising from incorrect credentials, incompatible server configurations, or pre-existing server problems. Installation is performed on a best-effort basis during normal business hours.

8. Support

Every purchase includes 6 months of priority developer support from the date of purchase. Support covers technical assistance with installation, configuration, and bug fixes in the Product as delivered. Support does not cover customizations you make to the source code, third-party integrations, or issues caused by your hosting environment.

After your support period expires, you retain full access to the Product and all updates. Extended support may be purchased separately.

9. Updates

All purchases include lifetime access to future updates for the Product. Updates are delivered through your dashboard and may include bug fixes, security patches, new features, and compatibility improvements. We are under no obligation to continue developing or updating any specific Product indefinitely.

10. License Verification

Our Products may contain license verification mechanisms that periodically validate your License Key and registered domains. Tampering with, bypassing, or disabling these mechanisms constitutes a material breach of these Terms and may result in immediate revocation of your License without notice or compensation.

11. Intellectual Property

All Products, including but not limited to the source code, design, documentation, and any associated materials, are the intellectual property of Codqi. Your License grants you the right to use the Product — it does not transfer ownership of the underlying intellectual property. All rights not expressly granted in these Terms are reserved.

12. Prohibited Conduct

You agree not to:

• Use the Platform to engage in any illegal, fraudulent, or harmful activity
• Attempt to gain unauthorized access to any part of the Platform, other accounts, or computer systems
• Use automated tools to scrape, crawl, or extract data from the Platform
• Interfere with or disrupt the Platform's infrastructure or other users' access
• Submit false information, create duplicate accounts, or impersonate others
• Initiate fraudulent payment disputes or chargebacks

13. Termination and License Revocation

We may suspend or terminate your account and revoke any or all Licenses if you breach these Terms. Specifically, Licenses may be revoked for:

• Redistribution or unauthorized sharing of Product source code
• Exceeding domain limits of your Plan
• Tampering with license verification systems
• Fraudulent payment disputes or chargebacks
• Any other material breach of these Terms

Upon revocation, you must immediately cease using the Product and delete all copies from your servers.

14. Limitation of Liability

To the maximum extent permitted by applicable law, the Platform and all Products are provided "as is" and "as available" without warranty of any kind, whether express, implied, or statutory. We disclaim all warranties including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

In no event shall Codqi, its owners, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from your use of or inability to use the Platform or any Product.

Our total aggregate liability to you for all claims arising from these Terms shall not exceed the amount you paid for the specific Product giving rise to the claim.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Codqi operates. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or through a notice on the Platform. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.
