Software License Agreement

1. Grant of License
Subject to the terms of this Agreement, Codqi grants you a non-exclusive, non-transferable, non-sublicensable license to use the purchased software ("Product") on the number of production domains specified in your purchased plan:
- 1-Site License: Use on 1 live production domain
- 3-Site License: Use on up to 3 live production domains
- 5-Site License: Use on up to 5 live production domains
Localhost and local development environments are excluded from domain counting. You may freely use the Product on localhost for development and testing purposes.
2. Permitted Uses
- Install and operate the Product on your licensed domains for any lawful purpose (personal or commercial)
- Modify, adapt, or extend the source code for your own use on licensed domains
- Create backups of the Product for archival purposes
- Use the Product on unlimited local/staging environments for development and testing
3. Prohibited Uses
- Redistribute, resell, sublicense, lease, or give away the Product (in original or modified form) to any third party
- Share or publish the source code publicly (e.g., on GitHub, forums, or file-sharing sites)
- Use the Product on more domains than your license plan permits
- Remove, alter, or circumvent license verification mechanisms, copyright notices, or attribution
- Use the Product to build a competing product or service intended for sale or distribution
- Transfer your license or account to another person or entity without written consent from Codqi
- Claim authorship of the original unmodified Product
4. Updates and Support
Lifetime updates: Your license includes free access to all future versions and updates of the Product, delivered through your account dashboard.
Priority support: Your purchase includes 6 months of priority developer support from the date of purchase, covering installation assistance, bug fixes, and technical guidance. Extended support plans may be purchased separately after expiration.
5. License Verification
The Product contains an online license verification system that periodically validates your License Key and registered domains. This system:
- Requires internet access for periodic validation checks
- Verifies that your domain is registered against a valid, active license
- Does not transmit any of your users' data or application content
If your license is revoked or your domain is not registered, the Product may enter restricted mode until the issue is resolved.
6. Intellectual Property
The Product, including all source code, design, documentation, and associated materials, remains the intellectual property of Codqi. Your license grants usage rights only — it does not transfer ownership of the underlying intellectual property. All rights not expressly granted in this Agreement are reserved by Codqi.
7. Termination
This license is effective until terminated. It will terminate automatically without notice if you violate any term of this Agreement. Upon termination:
- You must immediately cease all use of the Product
- You must delete all copies of the Product from your servers and local storage
- Your License Key and all associated domain activations will be revoked
Termination does not entitle you to a refund of any amounts paid.
8. Disclaimer of Warranty
The Product is provided "as is" without warranty of any kind. Codqi disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Product will be error-free or uninterrupted.
9. Limitation of Liability
In no event shall Codqi be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use the Product, even if advised of the possibility of such damages. Our total liability shall not exceed the amount paid for the specific License giving rise to the claim.
